1) Acceptance of Terms
By accessing or using OpenFundBook (the “Service”), you agree to these Terms of Use. If you do not agree, do not use the Service.
2) Eligibility & Accounts
- You must have authority to act on behalf of your community/organization when creating or managing a community account.
- You are responsible for safeguarding your credentials and for activities under your account.
- Provide accurate information and keep it updated.
3) Community Roles & Access
The Service supports roles such as superadmin, community admin, treasurer, auditor, and member. Permissions vary by role. Communities control who can create/read/update records. Public read-only event links allow anyone with the link to view the related reports.
4) User Content & Records
- You (or your community) retain ownership of the data you submit (e.g., member lists, contributions, expenses, attachments).
- You grant us a worldwide, non-exclusive license to host, process, display, and back up such content solely to provide and improve the Service.
- You represent that you have necessary rights to submit the content and that it does not violate law or third-party rights.
5) Payments & Contributions
OpenFundBook provides record-keeping tools. Unless explicitly stated, we are not a payment processor and do not collect payment instrument details. Any financial transactions occur outside the Service. Communities are solely responsible for their accounting practices and compliance with applicable laws.
6) Acceptable Use
- No unlawful, fraudulent, or deceptive activity.
- No tampering with security, access controls, or audit logs.
- No uploading malicious code, spam, or content that infringes intellectual property or privacy rights.
- No attempts to reverse engineer, scrape, or overload the Service.
7) Privacy
Your use of the Service is subject to our Privacy Policy, which explains how we collect and use information.
8) IP Rights & License
We own the Service and all related software and branding. Except for the limited rights expressly granted to you, we reserve all rights. You may not copy, modify, or create derivative works of the Service.
9) Third-Party Services
The Service may include links or integrations with third-party sites or tools. We are not responsible for their content or practices. Your use of third-party services is governed by their terms.
10) Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
11) Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of the Service. Our aggregate liability will not exceed the amount you paid to use the Service in the twelve (12) months before the claim (or INR 10,000, if greater is not applicable).
12) Indemnification
You agree to defend, indemnify, and hold harmless OpenFundBook and its affiliates from any claims, losses, and expenses (including reasonable attorney fees) arising from your use of the Service, your content, or your breach of these Terms.
13) Suspension & Termination
We may suspend or terminate access if you violate these Terms or we believe it is necessary to protect the Service or others. You may stop using the Service at any time. Upon termination, certain provisions (e.g., IP rights, disclaimers, liability limits) will continue to apply.
14) Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts located in Kochi, Kerala, India, will have exclusive jurisdiction. You agree to first attempt to resolve disputes informally by contacting info@openfundbook.com.
15) Changes to the Service & Terms
We may modify the Service and these Terms. We will post updated Terms with a new “Last updated” date. Your continued use indicates acceptance of the changes.
